Terms & Conditions / Client Service Agreement

These Terms & Conditions (“Agreement”) apply to painting, carpentry, preparation, repair, and related services provided by KR Painting, LLC (“KR Painting”) to the customer identified on an estimate, proposal, work order, or invoice (“Client”).
By accepting an estimate, signing a proposal, paying a deposit, authorizing work, or otherwise agreeing to proceed with a project, the Client acknowledges and agrees to these Terms & Conditions, together with the applicable estimate or proposal.

1. Scope of Work
KR Painting will perform the services specifically described in the Client’s accepted estimate, proposal, change order, or other written project documentation.
Only work specifically listed in the accepted scope is included in the project price.
Any additional work requested by the Client or discovered after work begins may require a written or otherwise documented change order and may result in additional labor, materials, and charges.
2. Estimates & Pricing
Estimates are based on the visible conditions of the property and the information available to KR Painting at the time the estimate is prepared.
Unless otherwise stated, estimates do not include concealed or unforeseen conditions that could not reasonably be identified during the initial inspection.
Examples may include hidden rot, water damage, structural deterioration, insect damage, failing substrates, previously concealed repairs, excessive layers of old coatings, or other conditions discovered after preparation or work begins.
If unforeseen conditions affect the scope, cost, or schedule of the project, KR Painting will communicate with the Client before proceeding with substantial additional work whenever reasonably practical.
3. Deposits & Payment
A deposit may be required to reserve the Client’s project on KR Painting’s schedule. The deposit amount and payment schedule will be specified in the estimate or proposal.
Progress payments may be required for larger or longer-duration projects.
Unless otherwise stated in writing, the final balance is due upon substantial completion of the contracted work.
The Client agrees to make payments according to the payment schedule contained in the accepted estimate, proposal, invoice, or approved change order.
Failure to make a required payment may result in work being paused or postponed until the account is brought current.
4. Scheduling
Project dates are estimates and may change due to weather, job-site conditions, material availability, changes in scope, delays on preceding projects, illness, emergencies, or other circumstances outside KR Painting’s reasonable control.
Exterior painting and certain preparation procedures require appropriate temperature, moisture, and weather conditions.
KR Painting reserves the right to postpone or reschedule work when conditions could negatively affect safety, workmanship, product performance, or the finished result.
5. Client Responsibilities
Before work begins, the Client agrees to provide KR Painting with reasonable access to the work areas.
Unless otherwise agreed in writing, the Client is responsible for:

Removing or securing valuable, fragile, or personal belongings from work areas.

Providing reasonable access to electricity and water when required.

Providing access to the property during scheduled working hours.

Keeping children and pets safely away from active work areas.

Identifying known hazards or property conditions that could affect the work.

Obtaining any approvals required from homeowners’ associations, condominium associations, property managers, or other governing organizations unless specifically included in KR Painting’s scope.

Providing timely selections and approvals for colors, finishes, and other project decisions.
Delays caused by unavailable access, incomplete Client responsibilities, or late selections may affect the project schedule and could result in additional charges.
6. Colors & Paint Selections
The Client is responsible for approving paint colors, sheen levels, finishes, and other selections before materials are ordered or applied.
KR Painting recommends that Clients review physical paint samples whenever color accuracy is important. Colors may appear different depending on lighting, surrounding colors, surface texture, sheen, and viewing conditions.
Once an approved color has been applied, changes requested by the Client may be treated as additional work and charged accordingly.
7. Surface Preparation
Proper preparation is an important part of a professional paint finish. Preparation will be performed according to the scope described in the estimate.
Depending on the project, preparation may include washing, scraping, sanding, caulking, patching, priming, or other appropriate procedures.
Painting improves and protects surfaces but does not necessarily eliminate every pre-existing imperfection, texture variation, crack, dent, previous repair, or substrate defect.
8. Existing & Hidden Conditions
KR Painting is not responsible for defects or failures caused by conditions outside the contracted work, including but not limited to:

Water intrusion or moisture.

Roof, flashing, gutter, or drainage problems.

Structural movement or settling.
-
Rot or deterioration beneath painted surfaces.
-
Improperly installed building materials.
-
Rusting or inappropriate nails, fasteners, or hardware.
-
Previous coatings with poor adhesion.
-
Mold, mildew, or biological growth caused by environmental conditions.
-
Damage caused by pests.
-
Substrate failure.
-
Previously performed repairs or workmanship by others.
Additional work necessary to address these conditions will be discussed with the Client and may result in additional charges.
9. Carpentry & Repairs
Carpentry, wood replacement, rot repair, or other repairs are included only when specifically identified in the accepted estimate or approved as additional work.
Conditions beneath existing siding, trim, decking, or other materials may not become apparent until those materials are removed or preparation begins.
Additional repairs discovered during the project will be communicated to the Client and may require additional authorization and charges.
When carpentry or specialty work is performed separately from the painting scope, it may be scheduled, invoiced, and completed separately.
10. Lead-Based Paint & Older Properties
Properties built before 1978 may contain lead-based paint.
When applicable, KR Painting will follow relevant lead-safe work practices and applicable federal and state requirements.
The discovery of previously unknown hazardous materials or conditions may require changes to the project’s procedures, schedule, and price.
11. Change Orders & Additional Work
Changes requested after the project has been accepted may result in additional charges and scheduling adjustments.
Examples include adding rooms or surfaces, changing colors after application has begun, requesting additional coats beyond the contracted scope, adding carpentry or repairs, or changing previously approved project specifications.
The Client agrees to pay for authorized additional work according to the applicable change order, invoice, or documented approval.
Electronic approvals, including email or text-message authorization, may be used to document requested changes when permitted by applicable law.
12. Materials
KR Painting will provide the paint and materials identified in the estimate unless otherwise agreed.
Material availability, manufacturer shortages, discontinued products, or other circumstances may occasionally require a comparable substitute. When a significant substitution is necessary, KR Painting will communicate with the Client.
Unused materials purchased specifically for the project may be left with the Client when appropriate.
13. Job-Site Conditions
KR Painting will make reasonable efforts to protect floors, landscaping, furniture, fixtures, and surrounding areas within the contracted work zone.
Some temporary disruption is inherent in painting and preparation work, including dust, noise, equipment, ladders, coverings, odors, and restricted access to portions of the property.
Clients should not enter active work areas without first communicating with the project team.
14. Completion & Final Walk-Through
Upon substantial completion, the Client should inspect the completed work and promptly identify reasonable touch-up items related to the contracted scope.
KR Painting will make reasonable efforts to address legitimate completion items associated with its workmanship.
Minor touch-ups do not automatically delay substantial completion or the payment obligation for the completed project.
15. Warranty
Any workmanship warranty offered by KR Painting will be described in the applicable estimate, proposal, or separate written warranty.
Unless expressly included in writing, warranties do not cover deterioration or failure caused by moisture, structural movement, substrate failure, environmental conditions, damage by others, improper maintenance, building defects, or conditions outside KR Painting’s control.
Manufacturer warranties applicable to paint or other materials are subject to the manufacturer’s own terms and conditions.
16. Cancellation & Rescheduling
Because KR Painting reserves crew time and may purchase project-specific materials in advance, cancellations or significant scheduling changes may result in costs to the Client.
Any refund or retention of a deposit will be determined according to the accepted proposal, work already performed, materials purchased or committed to the project, scheduling commitments, and applicable New Hampshire law.
Nothing in this Agreement is intended to limit any cancellation or rescission right that cannot legally be waived.
17. Photography
Unless the Client requests otherwise before or during the project, KR Painting may photograph work areas before, during, and after the project for documentation, quality control, estimating, training, portfolio, website, social media, and marketing purposes.
KR Painting will make reasonable efforts not to publish personally identifying information, people, house numbers, license plates, or other sensitive information without permission.
Clients who do not want project photographs used for marketing should notify KR Painting in writing.
18. Communication
The Client authorizes KR Painting to communicate regarding estimates, scheduling, project updates, invoices, payments, and other service-related matters using the contact information provided by the Client.
Communications may occur by telephone, email, or text message as appropriate and as permitted by law.
Marketing communications are subject to applicable consent and opt-out requirements.
19. Limitation of Responsibility
KR Painting will be responsible for performing the contracted services in a professional manner consistent with the agreed scope of work.
KR Painting is not responsible for damage, deterioration, defects, delays, or failures resulting from conditions outside its reasonable control, including hidden building conditions, severe weather, material defects, acts or omissions of third parties, pre-existing damage, or Client-requested work contrary to KR Painting’s recommendations.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.
20. Delays Beyond KR Painting’s Control
KR Painting will not be responsible for reasonable delays caused by severe weather, material shortages, supply-chain interruptions, emergencies, labor disruptions, governmental actions, unsafe site conditions, or other circumstances beyond KR Painting’s reasonable control.
The project schedule will be adjusted as reasonably necessary.
21. Past-Due Accounts & Collection Costs
The Client is responsible for paying all authorized charges according to the agreed payment schedule.
To the extent permitted by applicable law and the applicable project documents, past-due balances may be subject to reasonable collection costs, fees, or other remedies.
KR Painting reserves all rights and remedies available under applicable New Hampshire law for unpaid amounts.
22. Dispute Resolution
If a disagreement arises, KR Painting and the Client agree to first make a good-faith effort to resolve the issue through direct communication.
If the matter cannot be resolved informally, either party may pursue remedies available under applicable law.
This Agreement will be governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.
23. Electronic Acceptance
The Client may accept an estimate, proposal, change order, or agreement electronically.
Electronic signatures, electronic estimate approvals, payment of a required deposit, or other documented electronic acceptance may constitute acceptance to the extent permitted by applicable law.
24. Entire Agreement
The accepted estimate or proposal, approved change orders, and these Terms & Conditions collectively constitute the agreement between KR Painting and the Client regarding the project.
If a project-specific written provision conflicts with these general Terms & Conditions, the project-specific provision will control to the extent of that conflict.
If any provision of this Agreement is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Client Acceptance
By accepting KR Painting’s estimate or proposal, authorizing work to begin, signing electronically, or paying the required deposit, the Client acknowledges that they have reviewed and accepted the project scope, pricing, payment terms, and these Terms & Conditions.
